Terms of Service

Please read these terms carefully before using any Pinnacle Tech Projects services. By engaging our services, you agree to be bound by the following terms and conditions.

1. Parties and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between Pinnacle Tech Projects ("Pinnacle", "we", "us", or "our"), a business operated in Barrie, Ontario, Canada, and you ("Client", "you", or "your") — the individual or business entity that engages Pinnacle's services.

By signing a service agreement, making payment, using our services, or otherwise indicating acceptance (including verbally or electronically), you acknowledge that you have read, understood, and agree to these Terms in full.

2. Services

Pinnacle Tech Projects provides AI-powered voice and automation services for small and medium-sized businesses, including but not limited to:

The scope, deliverables, and specific features of your service are defined in the service agreement or proposal provided to you. Services are provided on a monthly subscription basis unless otherwise agreed in writing.

Service Availability

We target high availability for all deployed voice agents but do not guarantee 100% uptime. Availability is subject to the uptime commitments of our underlying platform providers (see Section 7). Planned maintenance will be communicated where possible.

3. Free Trial and Founding Offer

Qualifying founding clients may receive a complimentary setup and a one-month free trial period as communicated in our current promotional offer. The following terms apply to free trials:

4. Billing and Payment

Subscription Fees

Monthly subscription fees are billed in advance on the same date each month, beginning after any applicable free trial period. Plans start at $299 CAD per month. Your agreed rate is specified in your service agreement.

Payment Methods

We accept major credit cards and e-transfer. Payment details are collected securely at the time of subscription conversion. By providing payment information, you authorize Pinnacle to charge the applicable fees on a recurring monthly basis.

Late Payments

If payment is not received within 7 days of the due date, we reserve the right to suspend your service until payment is received. Services suspended for more than 30 days due to non-payment may be terminated.

Price Changes

We will provide at least 30 days written notice before changing your monthly rate. Continued use of the service after the effective date constitutes acceptance of the new pricing.

Taxes

All fees are exclusive of applicable taxes. You are responsible for any applicable GST, HST, or other taxes as required by Canadian law.

5. Cancellation and Termination

Cancellation by Client

You may cancel your subscription at any time with no penalty by providing written notice to scott@pinnacletechprojects.com. Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued.

Upon termination, your AI agent will be deactivated and your business phone number will be returned to its previous configuration. We will make reasonable efforts to assist with this transition.

Our services are built on third-party infrastructure including Retell AI, Twilio, n8n, and GoHighLevel (GHL). By using our services, you acknowledge that:

8. Intellectual Property

Pinnacle Property

All AI agent configurations, workflow templates, scripts, and system architecture developed by Pinnacle remain our intellectual property. You receive a non-exclusive, non-transferable licence to use these systems for the duration of your active subscription.

Client Content

Any business information, scripts, FAQs, or materials you provide to us for configuring your AI agent remain your property. You grant Pinnacle a limited licence to use this content solely for the purpose of delivering the agreed services.

Feedback

Any suggestions or feedback you provide regarding our services may be used by Pinnacle to improve our products without compensation or attribution.

9. Data and Privacy

Pinnacle Tech Projects is committed to compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.

Call Data

Call recordings, transcripts, and caller information are stored and processed for the purposes of operating your AI agent, quality assurance, and service improvement. Call data is handled in accordance with our Privacy Policy.

Data Retention

Call logs and transcripts are retained for a default period of 90 days. You may request deletion of data at any time, subject to any legal retention obligations.

Security

We implement reasonable administrative, technical, and physical safeguards to protect your data. However, no internet transmission is fully secure, and we cannot guarantee absolute security.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Pinnacle Tech Projects' total liability to you for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.

Pinnacle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: lost revenue, lost profits, missed business opportunities, data loss, or reputational harm — even if Pinnacle has been advised of the possibility of such damages.

This limitation applies regardless of the form of action, whether in contract, tort, negligence, or otherwise.

11. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

AI voice agents are tools to support your business operations, not substitutes for human judgment in all circumstances.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

You and Pinnacle agree to first attempt to resolve any dispute through good-faith negotiation before pursuing formal legal proceedings.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and notify active clients by email at least 14 days before material changes take effect. Your continued use of our services after the effective date constitutes acceptance of the updated Terms.
